What is a Supply and Distribution Agreement?

A Supply and Distribution Agreement is a legal contract usually entered into by and between a manufacturer and a Supplier who distributes the manufacturer's goods. The Supply and Distribution Agreement usually addresses various aspects surrounding exclusivity, territory and financial aspects.
When do I need this?
A Supply and Distribution Agreement must be distinguished from an Agency Agreement. With an Agency Agreement, the Agent acts on behalf of the Manufacturer and a contractual relationship is established between the Manufacturer and the customer. With a Supply and Distribution Agreement, the Manufacturer concludes a contractual relationship with the Supplier who buys the goods from the Manufacturer. The Manufacturer then sells the goods to the customers.
Do I need a legal expert to assist?
If you require provisions relating to the exclusivity, any restraint that must be placed on the Supplier after the relationship comes to an end or provisions relating to governance of Intellectual Property, we recommend that you involve one of our Contract Specialists to assist with the review of the Agreement.
